By accessing or using DokuBrain's services, website, or API (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms apply to all visitors, users, and others who access or use the Services. By using the Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Services

DokuBrain provides an intelligent document processing platform that offers:

• Document ingestion and processing
• Intelligent document classification
• Structured data extraction
• Semantic search and retrieval
• Multi-document reasoning and analysis
• AI-powered summarization
• Document comparison and version tracking
• API access for integration

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with or without notice.

3. Account Registration

To access certain features of the Services, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account

• Create derivative works (such as extractions, summaries, and embeddings) as part of the Services
• Improve and enhance our Services using aggregated, anonymized data

You represent and warrant that you have all necessary rights to upload and process the User Content and that doing so does not violate any third-party rights.

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of the Services
• Scrape, mine, or collect data from the Services without permission
• Impersonate another person or entity
• Use the Services for any fraudulent or deceptive purposes
• Process documents containing illegal content

7. Payment Terms

Certain features of the Services may require payment. If you subscribe to a paid plan, you agree to:

• Pay all applicable fees as described in your selected plan
• Provide accurate billing information

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. AI-generated outputs may contain errors and should be reviewed before use in critical applications.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOKUBRAIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising from your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless DokuBrain, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and User Content
• Any outstanding payment obligations will remain in effect

You may terminate your account at any time by contacting us. We recommend exporting any data you wish to retain before termination.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the changes becoming effective.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall be resolved exclusively in the federal or state courts located in Delaware.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
